These Token & Subscription Terms ("Token Terms") supplement the Vibz Terms of Service. By purchasing or using Tokens, by subscribing to a Channel, or by enabling Creator monetization, you agree to these Token Terms in addition to the Vibz Terms of Service, Privacy Policy, and Community Guidelines. Capitalized terms not defined here have the meanings given in the Vibz Terms of Service.
You may purchase or use Tokens only if all of the following are true:
the laws of a jurisdiction subject to comprehensive U.S. or other applicable trade sanctions (including, without limitation, Cuba, Iran, North Korea, Syria, the Crimea region, the so-called Donetsk People's Republic, and the so-called Luhansk People's Republic), and you are not on any U.S. government list of restricted parties.
Token Terms.
Restricted accounts (users between 13 and 17) cannot purchase Tokens, spend Tokens, or earn Creator payouts. See age-and-teen-safety.md.
"Token" means a unit of in-app virtual currency made available within Vibz. Tokens are used to pay for Channel Subscriptions, Boosts, and other digital features.
"Subscription" means a recurring access right to a specific Creator's Channel, paid in Tokens, that renews on a defined cadence unless you cancel.
"Boost" means a one-off, non-recurring Token spend on a piece of Creator content (for example, to surface a comment or recognize a post). Boosts are immediate and final once sent.
"Channel" means a subscription-gated content surface operated by a Creator on Vibz.
"Creator" means a Vibz user who is enrolled in Creator monetization, has accepted the creator-channel-terms.md, and is eligible to receive Token-based earnings.
"Platform Billing" means Apple In-App Purchase, Google Play Billing, or any other store-billing system through which Tokens are sold.
"Payout Provider" means the third-party payments processor (e.g. Stripe, Stripe Connect) we use to disburse Creator earnings.
Tokens are a personal, limited, non-transferable, non-sublicensable, revocable license to access digital features on Vibz. Tokens:
value, deposit accounts, prepaid access devices, or property of any kind;
requires otherwise;
any other user.
Tokens are sold exclusively through Platform Billing (Apple In-App Purchase or Google Play Billing). Pricing, taxes, currency conversion, and payment processing are controlled by the platform billing provider; Vibz does not see or process payment-card data.
You authorize the platform billing provider to charge you the displayed price (plus applicable taxes) for each Token bundle you purchase. Token bundles credit to your Vibz account on completion of the purchase.
All Token purchase refunds are governed by the Apple App Store and Google Play refund policies. To request a refund of a Token purchase, you must use the platform's refund process — Vibz cannot directly refund a Platform Billing charge.
We may, at our sole discretion and as a customer-service gesture, issue replacement Tokens for individual incidents (for example, a duplicate-charge bug). We are not obligated to do so and any such gesture does not create a right to future refunds.
You may spend Tokens to subscribe to a Creator's Channel. The minimum Token cost per subscription period is set by us and the Creator within ranges we publish in-app (currently no less than three (3) Tokens per period).
Subscriptions automatically renew at each period boundary by debiting your Token balance. If your balance is insufficient at renewal, the Subscription ends without notice; we are not required to top up your balance from Platform Billing on your behalf.
You can cancel a Subscription at any time from the Channel screen or from your subscription list; cancellation takes effect at the end of the current paid period.
Boosts are one-off Token spends on a piece of Creator content. Boosts are immediate and final on send: they cannot be reversed, recalled, or refunded. A Boost confers no ownership, intellectual-property right, or contractual claim against the Creator or against Vibz.
You may not sell, gift, transfer, trade, lend, or use as collateral your Tokens, your Channel access, or your account. Any third-party marketplace or exchange of Tokens, Subscriptions, or accounts is prohibited. We may invalidate the balance of any account that participates in such activity.
Token balances are non-interest-bearing and are not refundable for cash. Token balances may expire after a continuous period of account inactivity (currently twenty-four (24) months); we will notify you by in-app message and a reasonable secondary channel before any expiry.
Token balances and any accrued Creator earnings are forfeited on account termination, suspension for breach of these Token Terms or the Community Guidelines, or any conduct that violates Section 12 (Prohibited Uses) — except where applicable law mandates a refund or payout.
Creators accrue a share of net Token revenue (after Platform Billing fees, applicable taxes, payment-processor fees, and the Vibz service fee) as a USD-denominated payout balance. The Vibz service fee and Creator share percentages are published in the Creator dashboard and may be updated prospectively with reasonable notice.
Payouts are processed through the Payout Provider. To receive a payout you must:

We do not guarantee any minimum earnings, conversion rate between Tokens and USD payout, or payout cadence.
Creators are independent contractors with respect to Vibz and are solely responsible for reporting and paying any income, value-added, sales, withholding, or other taxes applicable to their Creator earnings. We may issue Form 1099-K or equivalent tax forms and may withhold amounts where required by law. Creators are responsible for maintaining accurate tax information in their account.
Tokens and Channels may not be used for, in connection with, or to facilitate:
content directed at, depicting, or sexualising minors;
Guidelines;
substances, etc.);
for Token-priced items inside the app);
Service, the Community Guidelines, or applicable law.
Violations result in immediate forfeiture of Tokens and Creator earnings, account suspension or termination, and where appropriate, referral to law enforcement.
We may screen accounts and transactions against U.S. Office of Foreign Assets Control (OFAC) sanctions lists and equivalent foreign lists, request Know-Your-Customer (KYC) documents from Creators or high-volume purchasers, and freeze, reverse, or refuse Token activity that we reasonably believe is associated with sanctioned parties, fraud, chargeback abuse, or other unlawful activity.
Initiating a chargeback or refund dispute on a Token purchase may result in:
If you believe a charge is in error, please contact us before initiating a chargeback so we can attempt to resolve it.
We may modify Token pricing, Subscription minimums, Boost costs, the Vibz service fee, the Creator share percentage, payout thresholds, and feature availability prospectively. Material changes will be communicated in-app or by a reasonable secondary channel and will apply only to activity after the effective date.
We may suspend or terminate your access to Tokens, Subscriptions, Channels, or your entire account at any time for any breach of these Token Terms, the Vibz Terms of Service, the Community Guidelines, or applicable law. On termination, unspent Tokens and unpaid Creator earnings may be forfeited except where applicable law mandates a refund or payout.
You may close your account at any time from Settings → Privacy → Delete my account. Closure forfeits unspent Tokens unless local law provides otherwise.
Tokens, Subscriptions, Boosts, and Channels are provided as is and as available, without warranty of any kind. To the fullest extent permitted by law, our aggregate liability arising out of or related to Tokens or Subscriptions in any twelve (12) month period will not exceed the greater of the Token-purchase amounts you paid in that period or one hundred U.S. dollars (USD $100).
You agree to indemnify and hold Vibz harmless from any claim arising out of your purchase, use, or transfer of Tokens, your operation of a Channel, or your breach of these Token Terms.
These Token Terms are governed by the laws specified in the Vibz Terms of Service and are subject to the same dispute-resolution provisions, including the binding individual arbitration agreement, class-action waiver, and 30-day arbitration opt-out window.
